Terms of Service
Effective July 2, 2026
1. Agreement
These Terms of Service ("Terms") are a legal agreement between you and Frame & Clause ("we," "us," or "our") governing your access to and use of the Frame & Clause website, app, and services (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
2. What the Service is (and isn't)
Frame & Clause is a drafting tool that helps photographers and videographers generate contract documents from user-provided information. We are not a law firm, and using the Service does not create an attorney-client relationship. Generated contracts are drafting aids, not legal advice. For high-value, unusual, or jurisdiction-specific work, you should have a qualified lawyer review your contract before relying on it.
3. Accounts
You must provide accurate information when you sign up and keep it up to date. You are responsible for all activity that happens under your account and for keeping your password secure. Notify us promptly at support@frameandclause.com if you suspect unauthorized use.
4. Subscription and billing
- — Frame & Clause Pro is a recurring subscription at the price shown on the pricing page, billed monthly in advance.
- — Your subscription renews automatically each billing period until you cancel.
- — You can cancel at any time from your account. Cancellation takes effect at the end of the current billing period; you keep access until then.
- — We may change pricing. Any change to your recurring price will be communicated in advance and will take effect at the start of your next billing period.
- — You are responsible for any taxes that apply to your purchase.
5. Refunds
If the Service isn't what you expected, email support@frameandclause.com within 7 days of your first charge and we'll refund it. Beyond that window, subscription fees are non-refundable except where required by law.
6. Acceptable use
You agree not to:
- — Use the Service for anything unlawful or to generate contracts intended to deceive or defraud.
- — Resell, sublicense, or repackage the Service or its output as a competing product.
- — Scrape, reverse-engineer, or attempt to disrupt or bypass the Service's security.
- — Upload content you don't have the right to use, or content that infringes anyone's rights.
7. Your content and generated contracts
You own the information you enter and the contracts you generate. You grant us a limited license to process and store that content solely to provide the Service to you (for example, saving contracts to your account so you can re-download them). You are responsible for reviewing every generated contract before signing or sending it.
8. Our intellectual property
The Service itself — including the software, clause library, wording patterns, branding, and design — belongs to Frame & Clause. These Terms do not transfer any ownership in the Service to you. You may use generated contract documents for your own photography and videography business without restriction.
9. Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that generated contracts will be enforceable in your jurisdiction, suitable for your specific transaction, or free of errors. Use of the Service is at your own risk.
10. Limitation of liability
To the maximum extent permitted by law, Frame & Clause will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunities, arising out of or related to your use of the Service. Our total liability for any claim arising out of or related to the Service is limited to the amounts you paid us in the twelve (12) months before the event giving rise to the claim.
11. Termination
You can stop using the Service at any time by canceling your subscription and, if you wish, deleting your account. We may suspend or terminate your access if you violate these Terms or if we're required to by law. Sections that by their nature should survive termination (ownership, disclaimers, limitation of liability, governing law) will survive.
12. Changes to these Terms
We may update these Terms from time to time. When we do, we'll update the effective date above and, for material changes, give reasonable notice through the Service or by email. Continued use of the Service after changes take effect means you accept the updated Terms.
13. Governing law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws principles. You and Frame & Clause agree that any dispute arising out of or related to these Terms or the Service will be resolved in the courts located in that jurisdiction, and you consent to their personal jurisdiction and venue.
